is that we split the chairman and CEO roles up. If he manages to get out of this without any new oversight then we'll have missed a warning, I think.

I know plenty of us were nervous about hm fulfilling both those roles even before any of this.

I looked it up and read that the UK Corporate Governance Code suggests separating these roles to ensure:

- *Clear leadership*: Chairman leads the board, CEO leads management
- *Accountability*: Separate roles prevent power concentration
- *Effective governance*: Independent chairman ensures board oversight

I think you’re right but I’m doubtful that this would have avoided this situation because ultimately the CEO is responsible for day to day operations and the Chairman would have no involvement unless he was specifically asked for his views on the issue.

To be honest doing this would be no guarantee that recent events couldn't happen again. What's important is the strength of the board as a whole, and what corporate governance are in place. The largest asset management business in the world has a combined CEO/Chairman, Larry Fink, which works.

Splitting the role may well just pay lip service, without understanding the processes in place.

I posted a few days ago that if 'lessons are to be learnt', what I'd want to know is what Corporate Governance processes do they have in place, and do they have a formal Whistleblower mechanism. These could protect the club from similar events taking place again.
