Not how it is in this instance, is all sorted from a negotiating perspective.


It's probably stuff like...

'This agreement shall be governed by and construed by the laws of England'.... no, the laws of Arizona... no, the laws of... etc.

And similar stuff. Completely irrelevant to the commercial terms and indeed some of the parties, but vitally important to get it right.

Example above certainly not an issue here but it's a general example of the finer details. E.g. I do a lot of work in IP licensing and rights clearance and the difference between juridictions can fundamentally alter a deal, especially with regard the financials and contractual indemnities. Obvoiusly lawyers need to do due diligence with jurisdiction alterations re governing law, and thus agreements are often held up by days if not weeks with this kind of back and forth, when the commercial terms are agreed and set.

Just an example of lawyers not necessarily being on a gravy train when there are delays, and holdups having fack all to do with agents or other "sales" negotiators.

In mine, it varies. I work with some of the most commercially savvy and risk tolerant lawyers around, and it makes all the difference.

Worth commenting that working quickly rather than methodically and getting it right 100% is kind of disastrous in the legal world. Of course, doing both is best :)

Don't think it was in question it would get done as we'd want to make some money for him if he moves on this summer. Those announcements and retained list not far off. Would guess that the Kieran situation has delayed those sorts of things being confirmed.

Indeed, right is far better than speedy but wrong. Just thinking that that would account for the delay. Presumably there is some clause which has been sent backwards and forwards between lawyers for the last couple of days until all parties are happy with it.

I really don't know, but I think it was more minor than that, wording relating to something rather than anything substantive from the way it was outlined to me.

We've all had the unfortunate experience of dealing with legal eagles when buying houses, it's painstakingly long winded.
